Terms of Service
1.1 Acceptance of Terms
Access to and use of the website www.stockitalia.eu (hereinafter the "Site") and the services offered by StockItalia S.r.l. (VAT and Tax Code No. 18578561005, share capital € 10,000, registered office in Rome, legal representative Niccolò Giuseppetti), hereinafter "StockItalia" or "the Company", implies full and unconditional acceptance of these General Terms and Conditions of use. The User is required to carefully read these Terms before proceeding with registration or using any service offered by the Site.
Should the User not wish to accept, in whole or in part, these Terms, they are requested to refrain from using the Site and its related services.
1.2 Description of the Service
StockItalia is a B2B (Business-to-Business) platform dedicated to the wholesale sale of liquidated stock, merchandise lots, pallets, and full truckloads sourced from major European distribution centres and retailers. The service is exclusively intended for commercial operators, entrepreneurs, and professionals holding an Italian VAT number or equivalent EU registration.
The services offered include, by way of example and without limitation: browsing the product catalogue, requesting information on specific lots, purchasing merchandise at wholesale prices, personalised commercial assistance through a dedicated consultant, and shipping of goods to the address specified by the purchaser.
1.3 Registration Requirements
To access StockItalia's services, the User must satisfy the following requirements:
- Be a company or hold an active VAT number, Italian or equivalent EU registration;
- Have reached the age of majority (18 years of age);
- Carry on a commercial, entrepreneurial, or professional activity compatible with the purchase of liquidated stock;
- Provide truthful, complete, and up-to-date information upon registration;
- Accept in full these Terms and Conditions and the Privacy Policy.
StockItalia reserves the right to verify the information provided and to refuse or suspend registration in the event of inaccurate, incomplete, or fraudulent data.
1.4 User Obligations
The User undertakes to:
- Use the Site and services exclusively for lawful purposes in compliance with applicable legislation;
- Not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site, its use, or its access without the prior written consent of StockItalia;
- Maintain the confidentiality of their access credentials and promptly inform StockItalia of any unauthorised use of their account;
- Not undertake any action that may damage, overload, or impair the operation of the Site or its servers;
- Not use automated tools (bots, spiders, scrapers) to access the Site or extract data without prior written authorisation.
1.5 Intellectual Property
All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of StockItalia or its licensors and is protected by Italian and international copyright, industrial property, and trademark laws.
The trademark "StockItalia", the logo, and all related distinctive signs are registered trademarks or otherwise the property of the Company. Any unauthorised use thereof is strictly prohibited.
1.6 Limitation of Liability
StockItalia endeavours to ensure the continuity and security of the service. However, the Company shall not be held liable for:
- Temporary service interruptions due to maintenance, updates, or force majeure events;
- Direct or indirect damages arising from the use of or inability to use the Site;
- Errors, omissions, or inaccuracies in the published content, except in cases of wilful misconduct or gross negligence;
- Unlawful conduct by third parties who exploit the Site improperly;
- Changes in price, availability, or characteristics of products, without prejudice to the obligation of timely communication to the User.
1.7 Amendments to the Terms
StockItalia reserves the right to amend these Terms and Conditions at any time. Amendments shall take effect from the date of publication on the Site. Continued use of the Site after publication of the amendments constitutes acceptance thereof. It is the User's responsibility to periodically review this page for any updates.
1.8 Governing Law and Jurisdiction
These Terms and Conditions are governed by Italian law. For any dispute relating to the interpretation, performance, or termination of these Terms, the court of the jurisdiction where the Company has its registered office shall have exclusive competence, except as otherwise provided by mandatory provisions of law.

2.2 Personal Data Collected
In the course of providing its services, StockItalia collects and processes the following categories of personal data:
- <strong>Identification data:</strong> first name, surname, company name (business denomination);
- <strong>Contact data:</strong> email address, telephone number, postal address;
- <strong>Tax data:</strong> VAT number, tax identification code, SDI code/PEC for electronic invoicing;
- <strong>Business data:</strong> type of commercial activity (shop, e-commerce, market, export, etc.), merchandise sector of interest;
- <strong>Browsing data:</strong> IP address, browser type, operating system, pages visited, visit duration, traffic source;
- <strong>Technical data:</strong> cookies, session tokens, server access logs.
2.3 Purposes of Processing
Personal data is processed for the following purposes:
- <strong>Service provision:</strong> account management, order processing, purchase-related communications, customer service, assignment of a dedicated sales consultant;
- <strong>Contractual and pre-contractual obligations:</strong> performance of obligations arising from the sales contract or from the User's requests prior to the conclusion of the contract;
- <strong>Commercial communications:</strong> sending of newsletters, promotions, catalogue updates, and personalised offers (subject to the User's explicit consent);
- <strong>Profiling:</strong> analysis of purchasing preferences and browsing behaviour in order to offer a personalised service and propose products aligned with the User's interests (subject to explicit consent);
- <strong>Service improvement:</strong> aggregated statistical analyses to optimise the browsing experience, Site content, and operational efficiency;
- <strong>Legal compliance:</strong> tax, accounting, and regulatory obligations under applicable Italian and European legislation.
2.4 Legal Basis for Processing
The processing of personal data is based on the following legal grounds:
- <strong>Consent of the data subject</strong> (Art. 6(1)(a) GDPR): for the sending of commercial communications and for profiling;
- <strong>Performance of a contract</strong> (Art. 6(1)(b) GDPR): for the provision of requested services and account management;
- <strong>Legal obligation</strong> (Art. 6(1)(c) GDPR): for compliance with tax and regulatory obligations;
- <strong>Legitimate interest</strong> (Art. 6(1)(f) GDPR): for fraud prevention, Site security, and aggregated statistical analyses.
2.5 Data Retention
Personal data shall be retained for the period strictly necessary to achieve the purposes for which it was collected, and in any event:
- <strong>Contractual data:</strong> for the duration of the contractual relationship and for the subsequent 10 (ten) years from termination, as required by Italian tax legislation;
- <strong>Marketing data:</strong> until the withdrawal of consent by the data subject and in any case for a maximum period of 24 (twenty-four) months from the last contact;
- <strong>Browsing data:</strong> for a maximum period of 12 (twelve) months from collection;
- <strong>Profiling data:</strong> until the withdrawal of consent and in any case for a maximum period of 12 (twelve) months.
2.6 Rights of the Data Subject
Pursuant to Articles 15-22 of EU Regulation 2016/679 (GDPR), the User has the right to:
- <strong>Access:</strong> obtain confirmation of the existence of processing of their data and access thereto;
- <strong>Rectification:</strong> request the correction of inaccurate data or the integration of incomplete data;
- <strong>Erasure:</strong> request the deletion of their data in the cases provided for by law (right to be forgotten);
- <strong>Restriction:</strong> request the restriction of processing in the cases provided for by law;
- <strong>Portability:</strong> receive their data in a structured, commonly used, and machine-readable format;
- <strong>Objection:</strong> object at any time to the processing of data for direct marketing purposes;
- <strong>Withdrawal of consent:</strong> withdraw consent at any time without affecting the lawfulness of processing based on consent given prior to its withdrawal;
- <strong>Complaint:</strong> lodge a complaint with the Italian Data Protection Authority (Garante per la Protezione dei Dati Personali - www.garanteprivacy.it).

2.7 Transfer of Data Outside the EU
StockItalia uses technology service providers (hosting, analytics, email marketing) that may process data in countries outside the European Economic Area. In such cases, the transfer takes place exclusively to countries that ensure an adequate level of protection pursuant to Art. 45 of the GDPR, or on the basis of Standard Contractual Clauses approved by the European Commission (Art. 46 GDPR), or in the presence of other safeguards provided for by applicable legislation.
2.8 Sharing with Third Parties
Personal data may be disclosed to the following categories of recipients:
- IT and hosting service providers;
- Payment service providers and banking institutions;
- Couriers and logistics operators for merchandise shipping;
- Legal, tax, and accounting consultants;
- Competent authorities where required by law;
- Analytics and marketing service providers (Google Analytics, Meta Pixel, etc.).
Personal data shall under no circumstances be transferred to third parties for their own independent purposes without the User's prior explicit consent.

3.1 What Are Cookies
Cookies are small text files stored on the User's device (computer, tablet, smartphone) during browsing on the Site. Cookies enable the Site to recognise the User's device and collect certain information about the browsing session, thereby improving the user experience and enabling certain functionalities.
3.2 Types of Cookies Used
The Site uses the following types of cookies:

3.4 How to Manage and Disable Cookies

Disabling technical cookies may impair the proper functioning of certain sections of the Site. Disabling analytical and profiling cookies will not affect browsing, but will prevent StockItalia from collecting data useful for service improvement.

4.1 B2B Nature of Transactions
All products and services offered by StockItalia are intended exclusively for economic operators holding a VAT number. Transactions carried out through the Site are Business-to-Business (B2B) in nature and therefore do not fall within the scope of consumer protection legislation (Italian Legislative Decree No. 206/2005 - Consumer Code), except as expressly provided for by law.
4.2 Pricing and Transparency
The prices of lots published on the Site are fixed prices, clearly indicated on the product page and not subject to auction or negotiation, unless otherwise explicitly stated. Prices are:
- Exclusive of VAT (which shall be applied at the rate prescribed by applicable legislation);
- Inclusive of standard packaging;
- Exclusive of shipping costs, which shall be communicated separately at the order stage and will vary based on the destination and volume of the goods.
4.3 Payment Methods
StockItalia accepts the following payment methods:
- <strong>Bank transfer:</strong> with credit within the timeframe indicated in the order confirmation. The goods shall be reserved and shipped only after the effective crediting of the amount to the Company's bank account;
- <strong>Credit/debit card:</strong> via a secure, PCI-DSS certified payment gateway (Visa, Mastercard, American Express);
- <strong>Other methods:</strong> any additional payment methods will be indicated in the relevant section of the Site or communicated by the dedicated sales consultant.
4.3bis Order Confirmation, Deposit and Non-Payment
The buyer's confirmation of the order — by acceptance of the commercial proposal or award of the lot — constitutes a binding and irrevocable purchase commitment. To secure the commitment, StockItalia may require payment of a deposit or earnest money (caparra confirmatoria), to be paid within the term indicated in the order confirmation.
In the event of non-payment of the price within the agreed term, or of withdrawal or cancellation by the buyer after order confirmation, StockItalia shall be entitled to retain the deposit or earnest money paid and to apply a penalty equal to 10% of the order value, with a minimum of € 120.00 plus VAT, in addition to reimbursement of any storage and resale costs incurred, without prejudice to compensation for greater damage.
4.4 Shipping and Delivery
Goods are shipped via national and international couriers selected by StockItalia. Delivery times are indicative and depend on the destination, type of goods, and courier availability. As a general guideline:
- <strong>Italy:</strong> 5-10 business days from payment confirmation;
- <strong>Europe:</strong> 10-15 business days from payment confirmation;
- <strong>Full truckloads:</strong> timescales agreed individually with the dedicated consultant.
StockItalia shall not be liable for delays caused by force majeure events, adverse weather conditions, strikes, courier service disruptions, or other circumstances beyond its reasonable control. The delivery times indicated are also subject to variation depending on the provenance of the goods and the location of the departure warehouse.
4.5 Conformity of Goods
StockItalia undertakes to describe each lot in good faith in terms of merchandise condition (Brand New, Grade A, B, C, Salvage), brands present, approximate quantity and merchandise category, based on the information, grade and manifest provided by the supply source. The grade and composition communicated are indicative and do not constitute a warranty of functioning of the individual items, save as provided by the specific grade.
As these are liquidated stock from distribution centers, the goods are sold on an "as-is" basis, i.e. as they come from the origin center. The actual composition, quantity and value of the lot may differ by up to 5% (more or less) from the description, and the lot may contain up to a further 5% of damaged items compared to what is indicated: such variances fall within normal industry tolerance and do not constitute a claimable discrepancy. Accessories (cables, remote controls, manuals and the like) may or may not be included.
4.5bis Illustrative Images
Images published on the Website and in the catalog are illustrative of the merchandise category and do not represent the specific lot for sale. The commercial proposal that the client receives from the dedicated consultant includes: detailed lot manifest, specific grade conditions and, where available, real photos of the pallet before shipping. The purchase is finalized based on the specific commercial proposal, not on the illustrative images on the Website.
4.6 Warranties and Limitations
StockItalia guarantees:
- Conformity of the goods to the grade and manifest communicated, within the limits of the tolerance referred to in point 4.5;
- Authenticity of the declared brands;
- Lawful and documented provenance of all merchandise sold.
Given the nature of liquidated stock sold as-is, no warranty of functioning and no commercial warranty is provided on the individual items contained in the lots, unless otherwise agreed in writing. The warranty for defects of the goods sold is governed by Articles 1490 et seq. of the Italian Civil Code and is understood, within the limits permitted by law for business-to-business (B2B) relationships, to be limited and governed by these Terms. Any manufacturer warranty, where it exists, must be asserted by the buyer directly with the manufacturer, StockItalia being extraneous thereto.
4.7 Transfer of Risk and Transport Damage
The risk of loss or deterioration of the goods passes to the buyer upon delivery. Where transport is entrusted to a carrier or arranged by the buyer, risk passes upon delivery of the goods to the first carrier, pursuant to Article 1510 of the Italian Civil Code. StockItalia is not liable for loss of or damage to the goods during transport carried out by third-party carriers. In the event of visible damage or shortages at the time of delivery, the buyer must, under penalty of forfeiture of the related rights, immediately note a specific reservation on the transport document (DDT) and initiate the procedure with the carrier.
4.8 Limitation of Liability
Without prejudice to liability for wilful misconduct and gross negligence pursuant to Article 1229 of the Italian Civil Code, StockItalia's total liability towards the buyer, on any ground connected with the sale or the individual lot, shall in no case exceed the price actually paid by the buyer for the goods in dispute. StockItalia's liability for indirect or consequential damages, loss of profit, loss of earnings, loss of customers or business opportunities, as well as for claims brought by third parties, including the buyer's end customers, is in any case excluded.
4.9 Buyer's Obligations Regarding the Goods
The buyer undertakes to:
- Permanently and irreversibly erase all data and content possibly present on the electronic devices purchased, before any use or resale, applying adequate erasure standards for storage media (e.g. DOD 5220.22-M), and holding StockItalia harmless from any consequence arising from residual data;
- Not destroy the purchased goods, allocating them to resale or to disposal compliant with applicable regulations;
- Comply with all export control, embargo and restriction regulations, refraining from transferring the goods to persons or countries subject to prohibitions or sanctions, and holding StockItalia harmless from any breach;
- In the event of resale, assume directly, as a professional seller, all obligations of conformity, product safety, CE marking and legal warranty towards its own end customers, holding StockItalia harmless from any related claim.
Right of Withdrawal
5.1 B2B Sale - Exclusion of Consumer Right of Withdrawal
<strong>Important:</strong> As this constitutes a Business-to-Business (B2B) sale between commercial operators holding a VAT number, transactions carried out on StockItalia <strong>are not subject to the right of withdrawal</strong> provided for by the Consumer Code (Italian Legislative Decree No. 206/2005, Articles 52-59) in favour of consumers.
The 14-day right of withdrawal provided for by consumer protection legislation applies exclusively to contracts concluded between a professional and a consumer (a natural person acting for purposes unrelated to their business, commercial, artisanal, or professional activity). As StockItalia is exclusively directed at economic operators holding a VAT number, this provision does not apply.
5.2 Guarantee of Conformity to Description
Without prejudice to the exclusion of the consumer right of withdrawal and the as-is nature of the goods, should the customer identify a significant discrepancy between the goods received and the grade or manifest communicated, exceeding the tolerance referred to in point 4.5, they may initiate the complaint procedure under the terms and in the manner set out below.
5.3 Procedure for Complaints and Disputes
In the event of a significant discrepancy between the goods and the description, the purchaser is required to:
- Report the complaint, under penalty of forfeiture, no later than <strong>5 (five) business days</strong> from delivery of the goods, by sending a written communication to the email address <a href="mailto:reclami@stockitalia.eu">reclami@stockitalia.eu</a>; any visible damage or shortage must also be the subject of a specific reservation on the transport document at the time of delivery;
- Attach detailed photographic documentation of the goods received and the packaging;
- Clearly indicate the order number, a description of the discrepancy identified, and the specific request;
- Preserve the goods in the condition in which they were received until the conclusion of the complaint procedure.
Once the period of 5 (five) business days has elapsed without a valid complaint, apparent discrepancies shall be deemed accepted and the buyer forfeits the right to contest them, without prejudice to the mandatory statutory terms for hidden defects. StockItalia undertakes to acknowledge each timely complaint within <strong>30 (thirty) days</strong> of receipt and, in the event of an ascertained discrepancy exceeding the tolerance referred to in point 4.5, to propose a solution which may consist, at its discretion, of: supplementation of goods, lot replacement, proportional price reduction, or issuance of a credit note. Any cash refund is granted solely at StockItalia's discretion.
5.4 Specific Approval of Clauses (Articles 1341-1342 of the Italian Civil Code)
Pursuant to and for the purposes of Articles 1341 and 1342 of the Italian Civil Code, the buyer declares that it specifically approves, by means of the dedicated approval checkbox in the registration and contact forms, the following clauses: 4.3bis (deposit and penalty for non-payment), 4.5 (as-is sale and 5% tolerance), 4.6 (exclusion of warranty on individual items), 4.7 (transfer of risk and transport damage), 4.8 (limitation of liability and cap equal to the price paid), 4.9 (buyer's obligations and indemnities), 5.3 (forfeiture of the right to complain within 5 business days and nature of remedies) and 1.8 (exclusive jurisdiction).

6.1 Complaint Procedure
To submit a formal complaint, the User must send a written communication to the address <a href="mailto:reclami@stockitalia.eu">reclami@stockitalia.eu</a> containing:
- Identifying details of the complainant (first name, surname, company name, VAT number);
- Reference order number (if applicable);
- Detailed description of the reason for the complaint;
- Any supporting documentation (photographs, receipts, prior correspondence);
- Specific request of the complainant.
6.2 Response Times
<strong>Response commitment:</strong> StockItalia undertakes to acknowledge each complaint within <strong>5 (five) business days</strong> of receipt and to provide a definitive response within <strong>30 (thirty) days</strong>. For requests relating to the exercise of rights under the GDPR, the response time is <strong>30 (thirty) days</strong> from receipt of the request, extendable by a further 60 days in cases of particular complexity, subject to prior notification to the data subject.
